It must be reviewed by qualified legal counsel and completed with OmniPost's actual details before being relied on in production.

These Terms of Service ("Terms") govern your access to and use of OmniPost's API, dashboard, and related services (collectively, the "Service"), operated by [Legal Entity Name] ("OmniPost", "we", "us"). By creating a workspace, generating an API key, or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent ("Customer", "you").

1. Service description

OmniPost is a developer API and dashboard that lets Customers connect their own Instagram, Threads, TikTok, and X accounts via each platform's official OAuth flow, and publish content (images, video, and text) to those accounts by making API calls or using the OmniPost dashboard. OmniPost acts as an intermediary that calls each platform's public API on your behalf and at your explicit direction — we do not control, review, or endorse the content you choose to publish.

2. Account and workspace registration

You must provide accurate, current information when creating an OmniPost account and workspace, and keep your login credentials and API keys confidential. You are responsible for all activity that occurs under your account, workspace, and API keys, including activity by other members you invite to a workspace. Notify us immediately at [Support Contact Email] if you suspect unauthorized use of your account or an API key.

3. Acceptable use

You agree to use the Service, and the connected-platform access it grants you, in compliance with all applicable laws and with the underlying platforms' own terms and policies, including:

  • Meta's Platform Terms and Instagram/Threads Community Guidelines and Content Policies;
  • TikTok's Developer Terms of Service and Community Guidelines;
  • X's Developer Agreement, Developer Policy, and X Rules.

You, not OmniPost, are solely responsible for the content you publish through the Service and for complying with each platform's policies when doing so. Without limiting the foregoing, you agree not to use the Service to:

  • Publish content that infringes intellectual property rights, violates privacy or publicity rights, or is unlawful, defamatory, harassing, or fraudulent;
  • Engage in spam, coordinated inauthentic behavior, or automated posting that violates a connected platform's automation or bot-disclosure requirements (for example, X requires accounts that post automatically to enable the "Automated" label and disclose the account operator);
  • Attempt to circumvent a platform's rate limits, publishing limits, or content review mechanisms;
  • Use the Service to publish on behalf of an account you are not authorized to manage, or use OAuth tokens obtained outside of the Service's own connection flow; or
  • Reverse engineer, resell, or use the Service to build a competing product without our prior written consent.

4. API usage limits

Use of the API is subject to the usage limits associated with your billing plan (posts per month, number of connected social accounts, and number of API keys), as displayed in the dashboard and our pricing page. We may also apply technical rate limits to protect the Service and to stay within the rate limits imposed on OmniPost by Instagram, Threads, TikTok, and X themselves. We may throttle or queue requests that exceed these limits.

5. Suspension and termination

We may suspend or terminate your access to the Service, in whole or for a specific connected account, if:

  • You violate these Terms or a connected platform's policies;
  • A connected platform (Instagram, Threads, TikTok, or X) revokes, suspends, or flags the OAuth access, app, or account associated with your workspace for abuse, spam, or policy violations — in which case we may suspend the affected connection to comply with that platform's requirements, independent of any action on your OmniPost account as a whole;
  • Your payment fails or your account becomes delinquent; or
  • We reasonably believe suspension is necessary to prevent harm to OmniPost, other customers, or a connected platform.

You may cancel your account and delete your workspace at any time from the dashboard. Upon termination, your right to use the Service ends and we will handle your data as described in our Privacy Policy.

6. Payment terms

Paid plans are billed on a subscription basis ([monthly/annual placeholder]) through our payment processor, [Payment Processor Placeholder]. Fees are non-refundable except as required by law or as expressly stated at signup. We may change our pricing with [notice period placeholder] advance notice; continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

7. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. OmniPost does not control Instagram's, Threads', TikTok's, or X's APIs, platforms, or policies, and is not responsible for outages, API changes, rate limit changes, or content moderation decisions made by those platforms. We do not warrant that the Service will be uninterrupted, error-free, or that every publish request will succeed.

8. Limitation of liability

To the maximum extent permitted by law, OmniPost and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim arising out of these Terms will not exceed the amount you paid OmniPost in the [12 months placeholder] preceding the claim.

9. Indemnification

You agree to indemnify and hold OmniPost harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: your use of the Service; content you publish through the Service; your violation of these Terms; or your violation of a connected platform's terms or policies.

10. Governing law

These Terms are governed by the laws of [Jurisdiction], without regard to its conflict of laws principles. Any disputes will be resolved in the courts located in [Jurisdiction], unless otherwise required by applicable law.

11. Changes to these Terms
